Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Luminet, Inc.’s API gateway, dashboard, SDKs, and related services (the “Service”). By creating an account or using the Service, you agree to these Terms.
1. Account
You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account, including activity by your team members and downstream consumers.
2. Acceptable use
You may not use the Service to violate law, infringe intellectual property, generate CSAM, conduct targeted harassment, or attempt to disrupt the Service. We may suspend accounts that materially breach these rules.
3. Upstream provider terms
Each model accessed through the Service is also governed by the upstream provider’s terms (e.g. OpenAI, Anthropic, Google). You agree to comply with the applicable upstream terms when routing requests.
4. Fees and billing
Usage fees are billed monthly in arrears based on metered consumption. Subscription fees are billed in advance. Late payments accrue interest at the lesser of 1.5% per month or the maximum allowed by law.
5. Confidentiality
Each party will protect the other’s confidential information with reasonable care. Information that is publicly available, independently developed, or rightfully received from a third party is not confidential.
6. Warranties and disclaimers
The Service is provided “as is”. We disclaim all implied warranties to the fullest extent permitted by law. We do not warrant that model outputs are accurate, complete, or fit for any particular purpose.
7. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, or consequential damages. Aggregate liability is capped at fees paid in the 12 months preceding the claim.
8. Termination
Either party may terminate for material breach with 30 days’ written notice if the breach is not cured. Upon termination, your right to use the Service ends immediately and outstanding fees become due.
9. Governing law
These Terms are governed by the laws of the State of Delaware. Any dispute will be resolved in the state or federal courts located in Wilmington, Delaware.
